CORPORATE POLICY

  1. ICTflier is an arm De-flier Global Networks Limited and would so remain, partnership with any other company, or entity based on any objective must be such that ICTflier must be seen, perceived, recognised and treated as an entity in the partnership

STAFF ENGAGEMENT POLICY

  1. Engagement of our staff on the following capacities – : (i) Front Desk Officer (ii) Customer Technical Support (iii) Site Maintenance Officer (iv) Server Management / Maintenance or any other related capacity whereby we have experience and competence to handle, must be based on the following:
  • Product Development / Implementation – :
  1. ICTflier will handle the payment and management of her staff except only when government / its agency are involved in the partnership and under set out agreement.
  2. All the support capacities must be done from ICTflier Company remote end, except order wise authorized by ICTflier Management.
  • Outsourced Job Engagement – :
  1. ICTflier will handle the welfare and Salary payment of her staff
  2. Any issue inquiry as related to the current project, our company classified information, should be directed to the appropriate quarters

PRODUCT INSTALMENT POLICY

  1. Every Product/package which any client subscribes to is only implementable on two instalments with the first part payment of 70% and on the final delivery, the remaining 30% should be paid.
  2. On clients negotiation with ICTflier 50% part payment may be accepted on any package whose contract worth exceeds ₩100,000 (Contract Worth Clause)

COMPLETION PAYMENT POLICY

  1. On delivery of the final or finished service which marks the completion of the contract, the clients is expected to complete the service payment and failure to do so, a grace of two working weeks (10 days) for payment is given to the client and o expiration, the site though online as already hosted, will be made inaccessible by the owner and users.

REFUND POLICY

  1. Any payment made for any subscription or project is not refundable on request by the client before the completion of the project, nevertheless, on an irreconcilable delivery of the project as agreed, parts of the contract or project fund utilized by ICTflier in the project execution shall be refunded and the outsourced service fund will be refunded, only when the servicing company to ICTflier refunds it to ICTflier.

PRODUCT IDENTITY VERSUS STAFF ENGAGEMENT POLICY

  1. In the interest of ICTflier Company, in pursuant of ICTflier staff Engagement Policy, ICTflier must implement it Product Identity Policy in the form of partnership with an entity or Company which ICTflier accepts to have a business deal with.

PRODUCT ATTACHMENT POLICY

  1. Any Product which ICTflier partners with another Company to develop or sell, in the interest of ICTflier, must have at least a ICTflier product that it is attached to, otherwise ICTflier would work for the Partnership Proposing Company and be paid commensurately for its services.
  2. The ‘Attachment’ existing between the Product A (attachee) in question and ICTflier Product (attacher) will be dissolved from the moment ICTflier partnership Policy Objectives achievements are no longer in view or when the Partnership agreement between ICTflier and the entity or Company ends.

PRODUCT IDENTITY POLICY

  1. ICTflier will make sure that Product A (attachee) existence, level of attachment and ICTflier Product (attachee), level of attachment is perfectly defined and Product A (attachee) is absolutely seperable from ICTflier’s Product (Attacher).
  2. ICTflier will make sure that the ICTflier’s Product Attachment Clause is perfectly communicated and understood by the Partnering Company.

Attachment Clause

Product A (attachee) is not ICTflier’s Product (Attachee) but is attached to the ICTflier’s Product only to make the both Products business models individually complex and as an entity more complex to the competitors brands.

CONFLICT OF INTEREST POLICY

In every Partnership or Project / Contract execution, ICTflier will above all things, uphold its business interest and will as a matter of urgency and continuity, react promptly to the following – :

  1. On the issue of conflict of interest, ICTflier will try as much as possible to resolve it and continue the business but when the best option to resolve the conflicts of interest is not in view, ICTflier will quickly state the conflict of interest or the issue at stake and immediately discontinue the Project / Contract / Partnership

CONFLICT OF INTEREST CLAUSE

The only Solution at our disposal, for this project will also be very vital to ICTflier’s own project and are not comfortable to implement such solutions outside its projects

WEBSITE PROJECT DETAILS

  1. ICTflier has the responsibility of holding and managing of any Website which is hosted under our platforms and our Renewal and Maintenance Services and would issue out the details of any Client’s Website project at the end of the 5th year
  2. ICTflier will be paid a 15% of the website setup fee/charge as the Details Preparation Fee of the Client’s Website Project Details by the Client on any date earlier than the date as stated on this company policy which is a minimum of 5 years
  3. From the date of release of Website Project Details whether on request by the client, or on our gesture to a Loyal Client as to further increase the client’s degree of freedom to do whatever with his/her project, ICTflier is protected by the Company policy that you have taken a full responsibility of your project after the default 5 working days expiration and any development which needs the attention of ICTflier will be treated from a Fresh Contract Bases
  4. On the ground of Hosting Service Irreconcilable Disagreementg. Service Dissatisfaction which results to Website details release (on Client’s request), it should take less than 12 hours for a Website to be handed over to the new service providers, ICTflier nonetheless will give 5 working days (we will keep your activities on the watch) with hope that such clients would be able to review actions, on its expiration, ICTflier services to such client will be disconnected to avoid the following:
  • Wastage of resources (time, energy, internet facilities etc.) watching such Client’s activities
  • Tempering with our systems’ and website platform’s mode of operation
  • Minimise security bridges and internet attacks
  • To open up the Client’s Website Bandwidth and Quota for other clients

LOYALTY SERVICE PLAN

  1. Our Clients reserves the right to turn down our offer of Loyalty Gesture and on that ground, our services which include: Maintenance Services and any other as may have been requested by our client(s), remain(s) our responsibility with our loyalty services plan running indefinitely
  2. ICTflier Loyalty Service Plan comes into operation after the expiration of First Service Year and has every other package which Our Client applies for, attracting a discount commensurate to the number of months such a Client has remained with our Services from the Second Service Year, the discount percentage increasing every 6 Months.

Web Site Development Agreement

  1. Services Provided Company / Living Individual (‘Client’) is contracting ICTflier (‘Service Provider’) to provide web site development. This includes designing new pages, editing existing pages and simple modifications to scripts, templates, applications and databases.
  1. Services Excluded Unless previously agreed to in writing, web site development does NOT include website maintenance and updates to pages or redesigning of page(s) to meet new updates. Also excluded are hosting fees, and the site services as contained in the Product Package (Standard Package) purchased, domain name registration and services provided by any 3rd party. These items would need to be quoted on an individual basis.
  1. Additional Charges Company / Living Individual (‘Client’) is responsible for license fees for any 3rd party images, programs or scripts. Company / Living Individual (‘Client’) can pay for these directly or with Company / Living Individual (‘Client’) approval ICTflier (‘Service Provider’) can license them and bill cost + 10% to Company / Living Individual (‘Client’). Company / Living Individual (‘Client’) is responsible for and agrees to pay all local, state and federal sales taxes due for these additional fees.
  1. Copyright and Trademarks
  • Company / Living Individual (‘Client’) represents to ICTflier (‘Service Provider’) and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to ICTflier (‘Service Provider’) for inclusion in web site are owned by the Company / Living Individual (‘Client’), or that the Company / Living Individual (‘Client’) has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend ICTflier (‘Service Provider’) from any claim or suit arising from the use of such elements furnished by the Company / Living Individual (‘Client’).
  • All graphics, photos and text provided by ICTflier (‘Service Provider’) are property of ICTflier (‘Service Provider’) and may not be used in any media outside the single web site without permission or transfer of rights specified in writing between ICTflier (‘Service Provider’) and Company / Living Individual (‘Client’). ICTflier (‘Service Provider’) guarantees that they have received the proper rights and/or licenses for any text, graphics, photos, designs, trademarks or other artwork to be used on the web site. Use of 3rd party graphical element may require a statement at the bottom of the web page acknowledging the source of the graphical element. It is agreed by both Company / Living Individual (‘Client’) and ICTflier (‘Service Provider’) that such statement shall remain on the web site so long as the graphical element remains. Under no circumstances shall these elements be used in any other media or marketing outside the web site, unless Company / Living Individual (‘Client’) receives direct authorization from the 3rd party.It is the responsibility of Company / Living Individual (‘Client’) to make sure that required source acknowledgements are placed with appropriate elements. Copyright to the finished assembled work of individual web site pages produced and designed by ICTflier (‘Service Provider’) is owned by ICTflier (‘Service Provider’). This ownership is to include rights to the design, any photos or graphics supplied by ICTflier (‘Service Provider’), source code, and computer programs specifically designed for this web site. Upon full and final payment of this contract, the Company / Living Individual (‘Client’) is assigned copyright to use on a single web site the design, graphics, and text contained in the finished assembled web site. Company / Living Individual (‘Client’) agrees to the placement of a small link to at the bottom of their Homepage advising visitors that the site is maintained by ICTflier (‘Service Provider’). Link shall go to ICTflier (‘Service Provider’) Website home page or another page of ICTflier (‘Service Provider’) choosing advising visitors about ICTflier (‘Service Provider’) s’ website maintenance services. Link shall stay in place while changes made by ICTflier (‘Service Provider’) are used by Company / Living Individual (‘Client’).
  1. Sole Agreement This agreement constitutes the sole agreement between ICTflier (‘Service Provider’) and Company / Living Individual (‘Client’). Any additional work not specified in this agreement must be authorized by a written change order. All prices specified in this agreement will be honored for six (6) months after both parties sign this agreement. Continued services after that time will require a new agreement.
  1. Jurisdiction This agreement shall be governed and construed in accordance with the laws of the State of Lagos, Nigeria. The parties agree that if any part, term, or provision of this Agreement shall be found illegal or in conflict with any valid controlling law, the validity of the remaining provisions shall not be affected thereby.
  1. Laws Affecting Electronic Commerce From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The Company / Living Individual (client) agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend ICTflier and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client’s exercise of Internet electronic commerce.
  1. Disputes If a dispute arises under this agreement, ICTflier (‘Service Provider’) and Company / Living Individual (‘Client’) agree to first try to resolve it with the help of a mutually agreed-upon mediator in the following location: Lagos State, Delta State, Nigeria. Any costs and fees other than attorney fees associated with the mediation will be shared equally.
  1. Project Completion and Acceptance

We agree to every bit of this legal document above, please acknowledge the following:

  • With the above information provided and in pursuant to a successful Website Project completion and delivery, we are also agreeing on the following:
  • On delivery of the completed Project, the balance of the Payment should be paid as agreed upon and failure to pay, additional 5 working days will be given and on expiration of the working days, MAPflier reserves the right to shut down the site until all the necessary payment is done, except otherwise stated in a written agreement which must be consented upon by the Management of MAPflier, in 5 working days before the completion date of the project.
  • A Project Endorsement and Acceptance document to be endorsed will be sent to you (Client) which will be acknowledged by us within the 5 working days, failure to return the document to MAPflier within this 5 working days, will be understood as project accepted.
  • Every correction will also be attended to within these 5 working days and after Project acceptance; any additional correction will be seen as requesting for MAPflier Maintenance Service.

Web Site Maintenance Agreement

Should there be an acceptance from ICTflier (‘Service Service Provider”)of any website maintenance service request by Company / Living Individual (‘Client’), the following agreements hold;

  1. Services Provided Company / Living Individual (‘Client’) is contracting ICTflier (‘Service Service Provider”)to provide web site maintenance. This includes adding new pages, editing existing pages and simple modifications to scripts, templates, applications and databases.
  2. Services Excluded Unless previously agreed to in writing web site maintenance does NOT include website redesign, custom images or artwork, custom script design. Also excluded are hosting fees, ecommerce related services or fees, like credit card processing fees or shopping cart purchase or rental, SSL certificate costs, domain name registration and services provided by any 3rd party. These items would need to be quoted on an individual basis and other services provided will be as purchased from maintenance agreement or otherwise stated on any other written agreement.
  3. Service Plans All service plans are prepaid and all prepaid time expires 1 month after the payment date. Any time not used within this 1 month windows will expire. There is no rollover of prepaid time to the next billing period and no refunds or credits will be issued for expired time. Time not used is non-transferrable. All website maintenance requests have a minimum charge of Πhour with all additional time charged to the nearest Πhour. If the maintenance work requested exceeds prepaid time, any additional time will be billed at the initial prepaid rate. A time log of time spent will be provided upon request.
    • Pay As You Go Website Maintenance Plans – These prepaid plans have no recurring monthly costs and are billed in 1 hour, 5 hour and 10 hour increments. Company / Living Individual(‘Client’) is charged for services rendered as stated herein.
    • Monthly Website Maintenance Plans – These plans are recurring plans that are billed monthly until canceled. There is a 10 day notice of cancellation prior to the next month’s billing required by either party. Notice must be given in writing via fax or email/phone call. Any time not used within the current 1 month billing period will expire at the end of that billing period. There is no rollover of time to the next billing period and no refunds or credits will be issued for expired time. Time not used is non-transferrable. If the maintenance work runs exceeds prepaid time, any additional time will be billed at the initial prepaid rate.

  1. Billing and Payments All invoices are due upon presentation and must be paid by cheque or direct bank deposit. Initial payment is a non-refundable deposit and must be made before work starts. Any additional non-prepaid maintenance time charged will be billed weekly. Recurring plans will be invoiced monthly and are due upon presentation. No discount is offered for early payment.

4.1 Late Fees Delinquent bills will be assessed a $15 or 5% of the total amount due, whichever is greater, fee if payment is not received within 10 days of the due date. If an amount remains delinquent 30 days after its due date an additional late fee of $15 or 5% of the total amount due, whichever is greater, will be added for each month of delinquency. ICTflier (‘Service Provider’) reserves the right to remove Web pages from viewing on the Internet and discontinue any remaining work until payment is made.

4.2 Collection In case collection proves necessary; the Company / Living Individual (‘Client’) agrees to pay all fees incurred by that process. This agreement becomes effective only when signed by ICTflier (‘Service Provider’). Regardless of the place of signing of this agreement, the Company / Living Individual (‘Client’) agrees that for purposes of venue, this agreement was entered into with ICTflier.

4.3 Returned Checks If a check is returned by the Company / Living Individual (‘Client’) bank for any reason, the Company / Living Individual (‘Client’) agrees to pay a returned check fee of N5, 000 plus any bank charges incurred in addition to the amount of the check. Additional legal, collection and late fees or charges may apply.

  1. Account Access Company / Living Individual (‘Client’) agrees to provide ICTflier (‘Service Provider’) full ftp and secure shell access to hosting server. Company / Living Individual (‘Client’) understands that some website changes may require a change in hosting services which is not covered by this agreement.
  1. Assignment of Work ICTflier (‘Service Provider’) reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion. Company / Living Individual (‘Client’) agrees to not contract with or hire either directly or indirectly any employee or subcontractor of ICTflier (‘Service Provider’) without Service Provider’s written approval.
  2. Indemnification Company / Living Individual (‘Client’) agrees that it shall defend, indemnify, save and hold ICTflier (‘Service Provider’) harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney’s fees, (“Liabilities”) asserted against ICTflier (‘Service Provider’), agents, its clients, servants, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by Company / Living Individual (‘Client’), its agents, employee or assigns. Company / Living Individual (‘Client’) agrees to defend, indemnify and hold harmless ICTflier (‘Service Provider’) against Liabilities arising out of any injury to person or property caused by any products or services sold or otherwise distributed in connection with “Service Provider’s” service, any material supplied by Company / Living Individual (‘Client’) infringing on the proprietary rights of a third party, copyright infringement, and any defective product which Company / Living Individual (‘Client’) has sold in the Web Design.

 

  1. Limited Liability ICTflier (‘Service Provider’) does not warrant that the Company / Living Individual (‘Client’) website will meet Company / Living Individual (‘Client’) requirements or that the operation of the website will be uninterrupted or error-free. The entire risk as to the quality and performance of the website is with Company / Living Individual (‘Client’). In no event will ICTflier (‘Service Provider’) be liable to the Company / Living Individual (‘Client’) or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate this website, even if ICTflier (‘Service Provider’)
